NEA operates cannabis businesses in Massachusetts and New Jersey. Nothing on the Site is intended to encourage or promote any activity that is illegal under applicable law.
We may change these Terms from time to time by posting an updated version on the Site. Your continued use of the Site after any such update constitutes your acceptance of the revised Terms.

NEA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY INFORMATION ON THE SITE IS ACCURATE, COMPLETE OR CURRENT.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEA AND ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND REPRESENTATIVES, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR ANY MATERIALS, EVEN IF NEA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEA TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS.

NEA reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with NEA in the defense of any such claim.

You understand and agree that you may not reproduce, copy, resell, manipulate or exploit any part of the Site for any commercial purpose without NEA express written consent.
18. Geographic Scope and Non United States Residents
The Site is controlled and operated from the United States. NEA makes no representation that the Materials are appropriate or available for use in locations outside the United States.
If you access the Site from outside the United States, you do so on your own initiative and at your own risk and you are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
19. Termination, Suspension and Changes to the Site
NEA may, in its sole discretion and without notice, suspend or terminate your access to the Site, or modify or discontinue any part of the Site, at any time and for any reason, including if NEA believes that you have violated these Terms.
NEA will not be liable to you or any third party for any such suspension, termination, modification or discontinuation.

If any provision of these Terms is held to be invalid, illegal or unenforceable by a court or other tribunal of competent jurisdiction, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
These Terms, together with the Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and NEA regarding your use of the Site and supersede all prior or contemporaneous understandings or agreements.
21. Governing Law and Venue
These Terms and your use of the Site are governed by the federal law of the United States and the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.
You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Massachusetts, and you consent to the personal jurisdiction of such courts.
